newcleo Completes €1.8 Million Bonifait Pesage Acquisition

newcleo plc has completed its acquisition of French nuclear equipment manufacturer Bonifait Pesage, strengthening its supply chain for planned mixed-oxide (MOX) nuclear fuel production facilities in the United States and Europe. Announced on 2 November 2026, the transaction values Bonifait Pesage's equity at €1.8 million, with payment structured through a combination of cash and newcleo shares. The acquisition gives the advanced nuclear technology developer greater control over specialist weighing equipment used to track and manage nuclear materials during fuel manufacturing.

The transaction extends newcleo's vertical integration strategy, which has included acquisitions of engineering and industrial equipment specialists Fucina, SRS and Rütschi since 2023. Integrating Bonifait Pesage will provide preferred access to nuclear-grade precision weighing systems and allow the company to adapt equipment to its manufacturing requirements. These systems are important for maintaining accurate material inventories and supporting operational controls in nuclear fuel production. By bringing this capability in-house, newcleo aims to reduce dependence on external suppliers as it develops manufacturing infrastructure for its lead-cooled fast reactor technology.

Founded in 1954 and headquartered in southern France, Bonifait Pesage specializes in manufacturing, installing, calibrating and maintaining industrial weighing equipment. The company has held certification since 2017 to maintain and verify weighing systems operating in environments exposed to ionizing radiation. Its technical personnel are also qualified to work in areas where radiation exposure may occur. Bonifait Pesage reported approximately €2.1 million in revenue during 2025, demonstrating its established presence within the French nuclear supply chain. The business will continue serving its existing nuclear industry customers following the acquisition.

The acquisition supports newcleo's plans to establish MOX fuel manufacturing capabilities alongside its development of advanced modular reactors. MOX fuel combines uranium and plutonium oxides and can support the reuse of recovered nuclear materials, depending on the fuel cycle. newcleo is developing lead-cooled fast reactors intended to contribute to low-carbon electricity and industrial heat generation. Securing specialized manufacturing equipment is one part of building the infrastructure needed for these technologies, although the acquisition does not confirm when the planned fuel facilities will become operational.

Stefano Buono, CEO and Co-Founder of newcleo, said the acquisition would strengthen the company's vertically integrated manufacturing supply chain and provide greater reliability for future MOX fuel production. He emphasized the importance of incorporating specialist expertise and technologies into the organization while continuing to support Bonifait Pesage's existing market activities. Laurent Bonifait, Founder of Bonifait Pesage, said, "Our team now joins a group that is building across the nuclear fuel cycle." He added that the acquisition would provide opportunities for expansion while maintaining relationships with established customers.
