Diginex, a provider of ESG, sustainability and compliance software, has signed an amended agreement to acquire Resulticks, a Singapore-headquartered AI-powered customer engagement technology company, in an all-share deal valued at $1.05 billion. Under the revised terms, Resulticks shareholders will receive 600 million newly issued Diginex shares at $1.75 per share, and are expected to hold approximately 86 percent of the combined company at completion, effectively making this a reverse takeover of the publicly listed Diginex. Completion is targeted for 30 October 2026, subject to Nasdaq listing approval, Diginex shareholder approval, and other customary conditions.
Diginex says its existing clients will see no disruption to current ESG platform services through the transition, with the company describing planned enhancements to those platforms following completion, though no specific new features or capabilities were detailed. Resulticks generated $150 million in revenue and $17 million in profit after tax for its 2025 fiscal year, with the company reporting a compound annual growth rate exceeding 60 percent since the pandemic; these figures describe Resulticks' customer engagement business rather than any ESG-related product line.

Following completion, Resulticks co-founder and chief executive Redickaa Subrammanian will become chief executive of the combined company, while Diginex chairman Miles Pelham will step down and the board will be reconstituted with directors designated by Resulticks' shareholders. Pelham framed the deal as combining Diginex's ESG data capabilities with Resulticks' technology, citing a claim that 76 percent of consumers would stop buying from companies that neglect ESG practices, though no source or methodology for that figure was provided in the announcement. Separately, private funding commitments totalling $70 million, comprising at least $20 million into Diginex and $50 million tied to Resulticks, have been secured as a condition of completing the transaction.
