Philips Prices €650 Million Green Bond Under New EU Standard

Philips Prices €650 Million Green Bond Under New EU Standard

Royal Philips has priced €650 million in fixed-rate notes due 2034 under its European Medium Term Note programme, marking the healthcare industry's first bond issued under the new European Green Bond Standard. The notes carry a coupon of 4.0 percent, an issue price of 99.655 percent, and a resulting yield of 4.055 percent, with the 7.8-year tranche oversubscribed by 2.7 times.

The European Green Bond Standard is a relatively new EU regulatory framework establishing more standardised requirements for what qualifies as a genuine green bond, including alignment with the EU taxonomy for sustainable activities, aimed at giving investors greater confidence that green-labelled bonds fund activities that meet a consistent, externally verified environmental standard rather than relying solely on each individual issuer's own green bond framework. Philips being the first healthcare sector issuer to use this standard specifically gives the transaction a degree of sector-first significance beyond its financial terms alone, potentially positioning the bond as a reference point for how other healthcare and medical technology companies might structure similar green financing under the same framework going forward.

An amount equivalent to the gross proceeds will be used to finance taxonomy-aligned economic activities as set out in Philips' European Green Bond Factsheet, supporting the company's stated 2030 Impact Ambition. The company said the issuance is not expected to increase net debt, since gross debt will only be temporarily elevated until the company's existing 2027 bond matures in May 2027, effectively using this new issuance to prefund that upcoming maturity rather than adding to the company's overall debt position.

Settlement and issuance of the notes is scheduled for August 28, 2026, with the notes to be listed on the Official List of the Luxembourg Stock Exchange and traded on its regulated market. Philips maintains investment grade credit ratings of BBB+ from Standard & Poor's, Baa1 from Moody's, and BBB+ from Fitch, all with stable outlooks.
