Flex IT and T1A Combine to Form €150 Million European Circular IT Platform

Flex IT and T1A Group have completed their combination, forming a European circular IT platform with revenue of approximately €150 million. The transaction is backed by the Eurazeo Planetary Boundaries Fund as majority shareholder, which acquired a majority stake in T1A in May 2026 and has now funded the acquisition of Flex IT with support from Dansk Vækstkapital.

Flex IT chief executive Angelo Bul, who becomes CEO of the combined group, specifically identified the actual constraint facing circular IT economics: "the hard part of circular IT has never been finding a buyer for a good second-life laptop. It is getting hold of the laptop in the first place." That framing reframes where the genuine bottleneck sits within the value chain, not in demand for refurbished equipment, which the release implies already exists, but in the supply-side challenge of actually recovering corporate IT hardware before it gets scrapped or left unused.

Bul specifically noted that "far too much corporate hardware is still scrapped, or left in a cupboard for three years, without anyone ever asking whether it could be used again," describing a pattern where equipment simply falls out of active use without any structured process ensuring it re-enters circulation. That observation matters because it suggests the primary obstacle to scaling circular IT practices isn't a lack of buyers for refurbished equipment or insufficient refurbishment technical capability, but rather the absence of reliable collection relationships and contractual arrangements that would ensure retiring equipment is systematically captured rather than left to accumulate unused or discarded through inattention.

T1A, founded in Denmark in 2001, specialises in collecting corporate IT equipment at end of first use and performing certified data erasure and refurbishment, while Flex IT, founded in the Netherlands in 1991, distributes new and refurbished IT hardware across Europe through a network of approximately 13,000 resellers, alongside operating its own certified refurbishment capacity in Poland. T1A founder and now Executive Chairman Peter Hemicke explicitly framed these as genuinely distinct disciplines requiring separate, extended development timelines: "collecting corporate IT and refurbishing it to a certified standard is a discipline, and it took us twenty-five years to build. Selling it across Europe, at the right price and into the right market, is a different discipline, and Flex IT has spent longer still building that."

That framing explains why this combination represents genuine value chain integration rather than simply consolidating two similar businesses to achieve scale, T1A's core competency in sourcing and certifying used equipment and Flex IT's core competency in distributing hardware across a wide reseller network address two entirely different operational challenges, and Hemicke's statement that "neither of us could have built the other side from scratch in any sensible timeframe" suggests the combination solves a genuine capability gap each company faced independently, rather than representing redundant consolidation of overlapping functions.

That naming convention itself, referencing "planetary boundaries," a scientific framework describing environmental limits within which humanity can safely operate, signals a fund structured around a specific, science-based investment thesis targeting environmental sectors as a distinct category, rather than applying a generic ESG screening approach across a broader, sector-agnostic portfolio.

The fund's approach here, acquiring a majority stake in T1A first in May 2026, then subsequently funding that same platform's acquisition of a complementary business in Flex IT, reflects a deliberate buy-and-build strategy specifically targeting circular economy value chain integration, similar in structural logic to the platform consolidation approach visible in other sector-specific private equity activity covered elsewhere in this batch, including Reworld's acquisition of three complementary Long Island waste and environmental services companies. Hemicke specifically highlighted the combined group's ability to "take a device out of a company in one country and put it back to work in another, under warranty, with the chain of custody intact." That capability addresses a genuine practical concern for corporate clients disposing of IT equipment: maintaining a documented, verifiable record of what happened to retired hardware, particularly given data security concerns around corporate devices that may have previously held sensitive information, requiring certified data erasure before equipment can be safely resold or redeployed.

Both companies hold R2v3 certification, an internationally recognised standard for responsible electronics recycling and refurbishment, and the combined group now operates certified processing across Denmark, the Netherlands and Poland. That multi-country certified processing network allows the combined entity to offer corporate clients a single point of accountability for equipment disposal regardless of which country the original equipment was retired in, or which country the refurbished device eventually gets resold into, addressing a coordination challenge that would otherwise require a corporate client to manage separate vendor relationships and certification verification across each individual country where it operates.
